Apple Pay Terms and Conditions

1.Agreement Overview

This document ("Terms") establishes a binding contract between you and BlancBlock governing the use of your Company Card through Apple Pay. By registering your Company Card for use with Apple Pay on any Apple Device, or allowing another cardholder to add a Company Card linked to your account to their Apple Device's Apple Pay, you confirm that you have read, comprehended, and accepted all provisions herein. You further agree to use the Company Card strictly in accordance with these Terms. If you disagree with any term, you must immediately cease all use of your Company Card via Apple Pay and remove all linked Company Cards from Apple Pay.

These Terms operate alongside and supplement the BlancBlock Company Card Service Agreement ("Main Agreement"), available on BlancBlock's official website. It is essential to review both documents together. In the event of a conflict between these Terms and the Main Agreement regarding the access or use of BlancBlock services through Apple Pay, these Terms shall take precedence.

You acknowledge that your use of Apple Pay is also subject to Apple's separate terms and conditions, which do not supersede or modify these Terms.

2.Eligibility and Enrollment Process

2.1 Access to Apple Pay
Apple Pay is available to Company Card holders for purchasing goods and services. It can be used at near field communication ("NFC")-enabled physical merchants and online merchants that accept Apple Pay as a payment method, provided you use an eligible Apple Device.

2.2 Enrollment Steps
To add your Company Card to Apple Pay, you must complete the registration process ("Apple Pay Card Registration") either through the BlancBlock application or by manually entering or scanning your Company Card details in the Apple Pay wallet. You may be required to complete additional authentication steps ("Additional Authentication"), such as providing a one-time password ("OTP") sent via SMS to your mobile number registered with us.

2.3 Enrollment Discretion
We reserve the right to decline your enrollment at our sole discretion if: the Company Card is ineligible for Apple Pay; you fail the authentication process; or your Company Card or its underlying account is not in good standing or is being used improperly (as determined by us). Apple Pay may impose limits on the number of Company Cards that can be stored on a single Apple Device (a restriction beyond our control). Additionally, we may from time to time limit the number of Apple Devices on which the same Company Card can be stored; please refer to our latest communications for such limits.

2.4 Multiple Cards Under a Program Account
If a Program Account includes multiple Company Cards, each card is considered separate and requires individual Apple Pay Card Registration and Additional Authentication.

2.5 Device Card Number and Refunds
When you add your Company Card to Apple Pay, a unique identifier ("Device Card Number"), different from your physical Company Card number, will be assigned for processing purchases and refunds via Apple Pay. Due to Apple Pay's operational mechanism, returning an item purchased using Apple Pay on a specific Apple Device may require presenting that device to the merchant.

2.6 Transaction Authorization and Card Updates
Once added to Apple Pay, your Company Card can be used to authorize transactions through Apple Pay by using the relevant Apple Device in place of the physical card—either at contactless payment terminals or within applications on Apple Devices.

Renewal of an expired Company Card or replacement of a damaged one will not affect its functionality in Apple Pay, regardless of whether you have activated the renewed or replacement card.

3.Rules for Using Company Cards via Apple Pay

3.1 Device Security Obligations
You must keep your Apple Device secure by locking it when unused or unattended, installing up-to-date anti-malware or antivirus software (where applicable), and refraining from modifying the device contrary to the manufacturer's software or hardware guidelines (including "jailbreaking," which involves disabling hardware or software controls). You acknowledge that using a modified device to access your Company Card via Apple Pay is strictly prohibited, constitutes a breach of these Terms, and may result in us denying your access to Apple Pay services.

3.2 Passcode Protection Requirements
The passcode or personal identification number required to access and use your Company Card through Apple Pay must be secured with the same care as a banking password or PIN. This includes, but is not limited to:
a.Never disclosing or sharing it with any third party;
b.Not storing a record of it with the Apple Device or items likely to be stolen alongside the device (unless reasonable security measures are in place);
c.Avoiding easily guessable passcodes, such as your date of birth or a portion of your name;
d.Taking all necessary steps to prevent negligence in safeguarding the passcode.


3.3 Fraud and Loss Prevention
You must take all reasonable measures to prevent fraud, loss, or theft of your Apple Device or Company Card in connection with Apple Pay use.

3.4 Biometric Identifier Restrictions
If your Apple Device uses biometric identifiers (e.g., fingerprints) to authenticate you or grant access to your Company Card for Apple Pay, you must not store third-party biometric data on the device. If third-party biometrics are stored (now or in the future) and can be used to access the device and your Company Card, you acknowledge that such access will be deemed authorized by you. You will be held responsible and liable for all transactions initiated by that third party.

3.5 Limitations on Biometric Verification
If you enable biometric verification (e.g., Touch ID), PIN, or passcode for Apple Pay, the collection, storage, enrollment, and verification of such data rely on your Apple Device's technology. When you log into Apple Pay using these methods, your biometric information, PIN, or passcode is verified against the device's internal systems. You acknowledge that we have no control over the Apple Device's technology, availability, verification methods, security, or integrity, and cannot be held liable for transactions authorized using such data. You are solely responsible for assessing whether the device's verification methods and associated risks are acceptable.

3.6 Transaction Authorization and Liability
Using Apple Pay is voluntary; you are not obligated to use it with your Company Card. All access to and use of your Company Card via Apple Pay will be deemed authorized by you, and you will be held liable for such use. Sharing your passcode with a third party constitutes authorization for that party to transact on your account via Apple Pay, and transactions initiated by them (using their fingerprint or the shared passcode) will be considered authorized. In such cases, the Main Agreement's provisions on unauthorized transactions will not apply.

If your Apple Device is lost or stolen, if biometric data, PIN, or passcode is compromised or misused, or if your Company Card is used via Apple Pay without your permission, you must notify us immediately. Upon our request, you must provide a statutory declaration (in our specified form), a police report, or any other information we reasonably require. You will be liable for all unauthorized use of your Company Card via Apple Pay until you notify us, unless we determine (at our sole discretion) that: (i) you fully complied with these Terms (including security precautions) and notified us without delay; (ii) you assisted in investigations and recovery efforts; and (iii) the unauthorized transactions did not result from your willful misconduct, gross negligence, or fraud.

3.7 Transaction History Discrepancies
The transaction history displayed in Apple Pay for your Company Card reflects only our authorization of transactions on that specific Apple Device. It does not include post-authorization activities such as clearing, settlement, foreign currency exchange, refunds, returns, or chargebacks.

As a result, the transaction amount, currency, or other details in Apple Pay may differ from the final amounts cleared, settled, and posted to your Company Card statement. In case of inconsistency between your statement and Apple Pay's transaction history, your Company Card statement shall prevail, and you remain liable for all amounts listed in the statement.

4.Fees, Charges, and Notifications

4.1 Applicable Fees
All fees, interest, and charges applicable to your Company Card under the Main Agreement (available on our website) continue to apply after registering the card with Apple Pay. Currently, we do not charge additional fees for using your Company Card via Apple Pay, but we reserve the right to impose such fees at our sole discretion in the future. You are solely responsible for third-party charges, such as those from your telecommunications provider for web access, data usage, or text messaging related to Apple Pay.

4.2 Consent to Notifications
As a condition of using your Company Card with Apple Pay, you consent to us sending notifications, automated calls, or text messages to your Apple Device (which may differ from your registered mobile number).

5.Suspension, Termination, and Modifications

5.1 Suspension and Termination Authority
We reserve the right to suspend, block, or cancel your ability to use your Company Card via Apple Pay at any time, without prior notice or explanation. This includes modifying or suspending permitted transaction types, changing Company Card eligibility for Apple Pay, or altering authentication processes.

We also may impose limits on daily and/or individual transaction amounts for purchases made via Apple Pay, with such limits determined by us and notified to you from time to time.

If your Company Card is canceled or suspended under these Terms or the Main Agreement, you will no longer be able to use it via your Apple Device—even if the card's symbol remains visible on the device.

5.2 Amendments to Terms
We may revise these Terms at any time by providing reasonable prior notice. Revisions will be posted on our website, and you are bound by such updates. We recommend reviewing the current Terms periodically on our website.

6.Data Collection and Sharing Authorization

You agree that we may collect, transmit, store, and use technical, location, login, and other information related to you and your use of the Company Card via Apple Pay. We may also collect details about your Apple Device, including app version, device type/model, operating system, and security information (e.g., whether root access has been obtained). This data is used to:
a.Ensure your Company Card functions properly in Apple Pay;
b.Enhance security and detect fraud;
c.Improve customer support;
d.Notify you of products or services that may interest you.

You acknowledge that: (i) Apple (the provider of Apple Pay technology) and its subcontractors, agents, and affiliates; and (ii) the payment network associated with your Company Card (e.g., Visa) and its subcontractors, agents, and affiliates, will have access to transaction details for purchases made via Apple Pay. Such access is for purposes including: (1) fulfilling their obligations; (2) providing transaction data; (3) detecting and addressing fraud; (4) complying with laws and regulations; (5) responding to court orders or regulatory inquiries; (6) managing, enhancing, or promoting Apple Pay; and (7) generating business or technical performance reports.

You further acknowledge that the use, storage, and disclosure of personal information provided directly to Apple, the payment network, or other third parties supporting Apple Pay are governed by their respective privacy policies.

7.Merchant Relationships and Disclaimers

Merchants may offer discounts, rebates, or other benefits (e.g., free shipping) ("Offers") for payments made via Apple Pay. Such Offers are subject to terms between you and the merchant. We are not liable for any loss or damage arising from your interaction with a merchant regarding Offers. All matters, including delivery of goods/services, returns, and warranties, are solely between you and the merchant. You acknowledge that we do not endorse or warrant merchants accessible via Apple Pay or their Offers.

8.Intellectual Property

All intellectual property rights in Apple Pay—including patents, trade secrets, copyrights, trademarks, and moral rights—are owned by Apple, us, our licensors, or third parties. Nothing in these Terms grants you rights to such intellectual property, and adding or using your Company Card via Apple Pay does not transfer any ownership rights to you.

"Apple" and "Apple Pay" are trademarks of Apple Inc., registered in the U.S. and other countries/regions.

9.Disclaimers and Liability Limitations

9.1 No Warranty for Apple Pay
Apple Pay is provided by Apple, and we make no warranties regarding it. You acknowledge that your use of the Company Card via Apple Pay may be delayed, interrupted, or disrupted for indefinite periods due to circumstances beyond our control. Neither we nor our affiliates shall be liable for claims arising from such issues.

You acknowledge that we are not a party to the terms between you and Apple for Apple Pay, nor do we own or control Apple Pay. We assume no responsibility for Apple Pay's performance, maintenance, or support, and shall not be liable for any claims, losses, liabilities, damages, costs, or expenses related to Apple Pay—including third-party product liability claims, non-compliance with legal/regulatory requirements, consumer protection claims, or intellectual property infringement claims. Inquiries or complaints about Apple Pay (including intellectual property matters) should be directed to Apple.

We do not endorse or warrant the performance of your Apple Device. You are responsible for selecting the device and all issues related to its operation, performance, and costs.

9.2 Limitation of Liability
To the maximum extent permitted by law, we, our processors, suppliers, licensors, and their respective affiliates, agents, directors, and employees shall not be liable for direct, indirect, punitive, incidental, special, consequential, or exemplary damages—including loss of profits, goodwill, use, data, or other intangible losses—arising from the use of, inability to use, or unavailability of Apple Pay (including use of your Company Card via Apple Pay).

To the maximum extent permitted by law, we and the aforementioned parties shall not be liable for: (i) errors, mistakes, or inaccuracies in content; (ii) personal injury or property damage from accessing or using Apple Pay; (iii) interruptions or cessation of transmission to/from Apple Pay; (iv) viruses or similar threats transmitted via Apple Pay by third parties; (v) errors/omissions in content or losses from using content via Apple Pay; or (vi) defamatory, offensive, or illegal conduct by third parties.

10.Indemnity
You agree to indemnify, defend, and hold us (and our employees, directors, agents, affiliates, and representatives) harmless from all claims, costs, losses, damages, judgments, tax assessments, penalties, interest, and expenses (including reasonable attorneys' fees) arising from: (a) breaches of your representations, warranties, or obligations under these Terms (including violations of our policies); (b) wrongful or improper use of Apple Pay (including willful misconduct or fraud); (c) violations of third-party rights (including privacy, publicity, or intellectual property rights); (d) violations of laws/regulations in Hong Kong or other jurisdictions; (e) access to Apple Pay by third parties using your Touch ID, PIN, passcode, or other security codes; or (f) changes in laws, regulations, guidelines, or official directives affecting the Company Card or Apple Pay (with such amounts payable on demand or debited from your Company Card).

11.Representations and Warranties
You represent and warrant to us that: (i) the name provided during registration is your own; (ii) you are the cardholder of all Company Cards added to Apple Pay; (iii) you and all transactions initiated via these cards will comply with applicable laws (including tax laws); (iv) you are authorized to receive notices, calls, and texts at the provided phone number; (v) you will not use the Company Card via Apple Pay for fraud or to interfere with Apple Pay's operation; (vi) you will not permit third-party use of your Company Card via Apple Pay; and (vii) your use of the Company Card via Apple Pay will comply with these Terms.

12.Removing Your Company Card from Apple Pay
If you no longer wish to use your Company Card via Apple Pay, follow Apple Pay's instructions to remove it. Ensure all Company Cards are removed from your Apple Device before disposing of it. Removing a card from Apple Pay does not terminate the Company Card itself unless you also terminate it under the Main Agreement.

13.Severability
If any provision (or part thereof) is deemed illegal, invalid, or unenforceable, it will be severed from these Terms, and the remaining provisions will remain in full force.

14.Governing Law
These Terms are governed by the same laws that apply to the Main Agreement.

15.Definitions
Capitalized terms not defined herein have the same meaning as in the BlancBlock Company Card Service Agreement ("Main Agreement").

"Apple Device": A device supporting Apple's operating systems (e.g., iOS, macOS, watchOS) that BlancBlock, in its sole discretion, deems eligible for Company Card registration in Apple Pay. Devices modified contrary to manufacturer guidelines (including "jailbreaking") are ineligible.

"Apple Pay": Apple's mobile payment and digital wallet service, enabling payments via Apple Devices with registered credit/debit cards.

"BlancBlock," "we," or "us": BLANKBLOCK LIMITED LIABILITY COMPANY.

"You": The company holding the Program Account associated with the Company Card added to Apple Pay, including authorized users (as applicable).
